Terms of Service
These terms are the agreement between you and Nightshift Labs for using Nightshift Watchdog.
These terms are a contract between you and Griffin Bunnell, a sole proprietor doing business as Nightshift Labs (“Nightshift Labs”, “we”), in Texas, USA. They cover Nightshift Watchdog, the website at nightshiftwatchdog.com, and the ping, alert, and billing features (the “service”). By creating an account, or by sending a ping, you agree to these terms and to the Privacy Policy. If you are using the service for a company, you represent that you can bind that company, and “you” includes it.
The service
Nightshift Watchdog is a monitoring and heartbeat product. You give a job a ping URL. If the job stops checking in, reports a failure, or reports token or dollar figures that cross a limit on a paid plan, we send an alert. We do not run your agents, and we do not guarantee that a job succeeded just because a monitor looks up.
Uptime is best effort. Detection depends on your job actually sending pings and on our schedule checker running. A missed minute, a delayed email, or a platform outage can happen. The service is not an emergency line, and it is not a substitute for limits you set at the model provider.
Accounts
You must give us an accurate name and email and keep the password confidential. You are responsible for activity under your account and for anyone you invite into a workspace. A ping URL is a credential. You are responsible for keeping it out of public code and for rotating it if it leaks. Tell us at support@nightshiftwatchdog.com if you believe the account has been compromised.
Acceptable use
You may monitor jobs you are allowed to monitor. You may not:
- Probe, overload, or interfere with the service, or bypass a rate limit in order to disrupt it.
- Use a ping URL, webhook, or account you are not authorized to use.
- Send unlawful content, or use the service to break the law.
- Resell the service without our written permission.
We may suspend a workspace that breaks these rules or that threatens the reliability of the service for other people.
Plans and payment
Free includes the limits shown on the pricing page and does not require a card. Pro is $12 per month. Team is $39 per month. Prices are in US dollars. Paid plans renew every month until you cancel. Stripe processes the charge. We do not store your card number.
Monitor, member, and alert limits are the ones listed on the pricing page at the time you subscribe. If a workspace is over a limit after a downgrade, we keep the oldest monitors active and lock the rest. We do not delete them for going over quota. Chat alert channels that are not on the current plan stop delivering until the plan includes them again.
Taxes, if any, are calculated by Stripe at checkout. We can change prices or limits for future periods. A price change does not apply to a month you have already paid. If the price of your plan changes, the new price applies on the renewal after we post it.
Cancellation and refunds
You can cancel Pro or Team at any time from the billing page, which opens the Stripe customer portal. Cancellation takes effect at the end of the current billing period. You keep the paid plan until that period ends, then the workspace returns to Free.
We do not refund unused time in a partial month. If you switch between Pro and Team in the middle of a period, the only credit or extra charge is the proration Stripe applies. That proration is the entire adjustment for a partial month. Fees already paid are otherwise non-refundable, except where the law requires a refund.
If a payment fails, or a charge is disputed, paid features can pause until Stripe shows the subscription is in good standing again.
Your content
You keep ownership of monitor names, descriptions, and the numbers you send in pings. You give us a license to host, copy, and process that material only to provide the service, to secure it, and to send the alerts you configured. You are responsible for having the right to send us that material, including any cost or token figures.
Privacy
The Privacy Policy describes what we collect, the processors we use (Stripe, Vercel, Neon, and Resend), and how to ask for deletion. You can email support@nightshiftwatchdog.com to request deletion of your account.
No warranty
The service is provided “as is” and “as available.” To the fullest extent the law allows, Nightshift Labs disclaims every warranty, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the service will be uninterrupted, that an alert will arrive, that silence or runaway spend will be detected within a particular time, or that the service will prevent a loss.
Limitation of liability
To the fullest extent the law allows, Nightshift Labs is not liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, lost revenue, lost data, or the cost of a model bill, even if we were told those damages were possible. This includes a loss that happens because an alert was late, wrong, or never sent.
Our total liability for any claim arising out of the service or these terms is capped at the fees you paid Nightshift Labs for Nightshift Watchdog in the 12 months before the claim. If you paid nothing during that period, the cap is zero.
These limits do not apply where the law does not allow them, including liability that cannot be limited for gross negligence or willful misconduct. Some states do not allow certain disclaimers or limits. In those states, the limits apply to the fullest extent the law allows.
Indemnity
You will indemnify Nightshift Labs against claims, damages, and reasonable legal costs that arise from your content, your ping URLs, your use of the service, or your breach of these terms. We will give you prompt notice of a claim we expect you to cover, and you will not settle it in a way that admits fault for us without our consent.
Ending the agreement
You can stop using the service at any time and ask us to delete the account. We can suspend or close a workspace that does not pay, that breaks these terms, or that creates a security risk. Sections that by their nature should survive (payment obligations already incurred, warranty disclaimer, liability cap, indemnity, and governing law) survive termination.
Changes
We can update these terms by posting a new version on this page and changing the date above. If a change is material, we will make a reasonable effort to email the address on the account before it applies. If you keep using the service after the new date, you accept the update. If you do not agree, cancel and ask us to delete the account.
Governing law
These terms are governed by the laws of the State of Texas, USA, without regard to conflict-of-law rules. The state and federal courts located in Texas have exclusive jurisdiction over disputes arising out of these terms or the service, and you consent to that venue. Nothing in these terms limits a right that Texas law, or another law that applies to you and cannot be waived, says cannot be limited.
Other terms
These terms and the Privacy Policy are the whole agreement between you and Nightshift Labs about the service. If a court holds one part unenforceable, the rest stays in effect. We can assign this agreement if the business is transferred. You cannot assign your account without our consent. A delay in enforcing a term is not a waiver. The headings are for convenience.
